Acceptable Use Policy

This Acceptable Use Policy ("Policy") governs the use of AI agent services ("AI Coworkers" or "Agentic Service") provided by UTXO AG, Dammstrasse 16, 6300 Zug, Switzerland ("UTXO AG") to the subscribing business entity ("Customer"). This Policy forms an integral part of the Agentic Service Subscription Terms.


1. General Obligations

1.1 The Customer shall use the Agentic Service only for lawful purposes and in accordance with these Terms, the Agentic Service Subscription Terms, and all applicable laws and regulations.

1.2 The Customer is solely responsible for ensuring that its use of the Agentic Service, including any data processed through or output generated by the AI Coworker, complies with all laws, regulations, and industry-specific requirements applicable to the Customer.


2. Prohibited Uses

The Customer shall not use the Agentic Service to:

  • engage in, promote, or facilitate any unlawful activity;
  • defame, abuse, harass, stalk, threaten, or otherwise violate the rights of any person;
  • process, publish, distribute, or disseminate obscene, harmful, or unlawful material;
  • generate, upload, or distribute malware, viruses, worms, trojans, or other harmful code, files, scripts, or programs;
  • upload material that contains copyrighted, trademarked, patented, or otherwise legally protected content without having the necessary rights, licences, or consents;
  • generate, promote, or distribute disinformation or misleading content;
  • interfere with, disrupt, or degrade the Agentic Service, or the networks, servers, or infrastructure connected to it;
  • attempt to gain unauthorised access to the Agentic Service or its related systems;
  • circumvent any contractual usage limit or technical restriction imposed by UTXO AG;
  • access, copy, or use any of UTXO AG's intellectual property except as expressly permitted under the Agentic Service Subscription Terms;
  • use the Agentic Service to develop, train, or improve a competing product or service, or to benchmark the Agentic Service for competitive purposes; or
  • use the Agentic Service in violation of applicable export control laws or sanctions regulations.

3. EU AI Act — Prohibited Practices

In compliance with the Artificial Intelligence Act (Regulation (EU) 2024/1689), the Customer shall not use the Agentic Service for or in connection with any prohibited AI practice. In particular, the Customer shall not:

  • deploy subliminal, manipulative, or deceptive techniques that distort a person's behaviour in a manner that causes or is likely to cause that person or another person physical or psychological harm;
  • exploit any vulnerabilities of a person or group related to age, disability, or socio-economic circumstances to materially distort their behaviour in a manner that causes or is likely to cause harm;
  • evaluate or classify individuals based on their social behaviour or personal traits (social scoring), where such scoring leads to detrimental or unfavourable treatment unrelated to the context in which the data was originally generated;
  • assess or predict the risk of an individual committing a criminal offence based solely on profiling or personal traits;
  • create or expand facial recognition databases through untargeted scraping of facial images;
  • conduct real-time remote biometric identification in publicly accessible spaces for the purpose of law enforcement;
  • infer the emotions of individuals in the workplace or educational settings, except where such use is necessary for medical or safety reasons; or
  • categorise individuals based on biometric data to deduce or infer sensitive attributes such as race, political opinions, trade union membership, religious or philosophical beliefs, sex life, or sexual orientation.

4. High-Risk AI System Prohibition

The Customer shall not modify, configure, or use the Agentic Service in a manner that transforms it into a high-risk AI system within the meaning of Art. 6 of the Artificial Intelligence Act (Regulation (EU) 2024/1689), or use it as such, without prior written agreement with UTXO AG.


5. Reverse Engineering and Intellectual Property

5.1 The Customer shall not decompile, disassemble, reverse engineer, or otherwise attempt to discover the source code, underlying algorithms, or architecture of the Agentic Service or any component thereof, except to the extent expressly permitted by mandatory applicable law.

5.2 The Customer shall not rent, sell, lease, sublicense, assign, distribute, frame, mirror, or otherwise transfer the Agentic Service or any rights therein to any third party.

5.3 The Customer shall not grant direct or indirect access to the Agentic Service to any unauthorised third party. The Customer may permit access to its employees and contractors only to the extent necessary for the intended use of the Agentic Service, provided that the Customer remains fully responsible for such persons' compliance with this Policy.


6. Enforcement

6.1 UTXO AG reserves the right to investigate any suspected violation of this Policy.

6.2 If UTXO AG determines, in its reasonable discretion, that the Customer has violated this Policy, UTXO AG may:

  • issue a warning and request that the Customer cease the violating activity;
  • temporarily suspend the Customer's access to the Agentic Service; or
  • terminate the subscription with immediate effect in accordance with the Agentic Service Subscription Terms.

6.3 UTXO AG shall notify the Customer of any enforcement action taken under this Section 6, unless disclosure would be prohibited by law or would compromise an ongoing investigation.


7. Reporting

The Customer shall promptly notify UTXO AG at support@utxoag.com if it becomes aware of any violation of this Policy, any security incident affecting the Agentic Service, or any use of the Agentic Service that may constitute a prohibited practice under the EU AI Act.
